An overlay is a clip you stack on top of your footage to add texture: grain, light, tape damage. It is the least destructive way to change the feel of a shot, because you can dial the opacity or remove the layer entirely without touching the grade underneath.
The overlays here are 1920x1080 QuickTime files that work identically in Final Cut Pro, Premiere Pro and DaVinci Resolve. Two of the three carry a real alpha channel, which lets you keep Normal blend mode and preserve your blacks.
